APEXA 10 Days to Win Contest

1. Agreement: These rules govern the APEXA 10 Days to Win contest (the “Contest”). No purchase is necessary to enter the Contest. The act of entering the Contest constitutes acceptance of the Contest rules and the decisions of the Sponsor, which decisions shall be final and binding upon all participants.

2. Sponsor: The Contest sponsor is APEXA Corp. (the "Sponsor").

3. Contest Period: The Contest begins at 12:00:00 AM ET on July 1, 2017 and ends at 11:59:59 PM ET on June 30, 2018 (the "Contest Period"). The Contest Period includes twelve (12) separate monthly draw periods (each a "Monthly Draw Period") as further detailed in Section 6 below.

4. Eligibility: The Contest is open to residents of Canada who have attained the age of majority in their province or territory of residence at the start of the relevant Monthly Draw Period. Employees, representatives and agents of Sponsor and its corporate affiliates, advertising and promotional agencies, prize suppliers and life insurance managing general agents and carriers who are not life insurance advisors, as well as their immediate family members of those individuals residing in the same household as those individuals, are not eligible to participate in the Contest. 

In order to participate in the Contest, the participant must be either (i) a life insurance advisor, who is licensed to sell life insurance by an applicable provincial regulator, that has been independently contracted by a life insurance managing general agent or an insurer for the purpose of selling life insurance on behalf of an insurer; or (ii) an unlicensed life insurance advisor who has been invited by a managing general agent or insurer to join APEXA for the purposes of sponsoring such advisor’s licensing process with an applicable provincial regulator and subsequently entering into a contract with such life insurance managing general agent or insurer for the purposes of selling life insurance on behalf of an insurer. In each case, the participant must not have previously registered or created an advisor profile with APEXA and must have received an email invitation to register with APEXA (each an "Email Invitation") in a given Monthly Draw Period.

5. How to Enter: To participate in the Contest, a participant must receive an Email Invitation for a Monthly Draw Period and complete the APEXA “Advisor Profile Setup” process referenced in such Email Invitation online within ten (10) days from the date on which the Email Invitation was sent by the Sponsor (which period includes the date on which Email Invitation was sent by the Sponsor). The “Advisor Profile Setup” process requires a participant to complete a range of information on the participant’s background and insurance practice.

The start of a new calendar month does not void a participant’s ten (10) day window of time to complete the Advisor Profile Setup” process following the receipt of an Email Invitation from the Sponsor relating to a previous Monthly Draw Period. For example, if a participant receives an Email Invitation on August 31, 2017 and completes the “Advisor Profile Setup” process before 11:59:59 PM ET on September 9, 2017, he/she will be entered into the Monthly Draw Period for August. For greater certainty, the date on which the Email Invitation is sent by the Sponsor to the participant determines the relevant Monthly Draw Period in which the participant is eligible to participate in the Contest.

Validly completing the “Advisor Profile Setup” process grants a participant one (1) entry for participation in the draw for the corresponding Monthly Draw Period. Limit of one (1) entry per person per Monthly Draw Period. For greater certainty, receiving more than one Email Invitation to participate in a Monthly Draw Period does not grant a participant additional entries, and does not extend the ten (10) day time period during which the participant must complete the “Advisor Profile Setup” process beyond the ten (10) day time period set by the first Email Invitation received by the participant for the relevant Monthly Draw Period.

Limit of one (1) entry per person per Contest Period. A participant who receives an Email Invitation but does not complete the “Advisor Profile Setup” process for entry into a draw for a Monthly Draw Period is eligible to participate in a draw for a subsequent Monthly Draw Period provided that he/she receives a subsequent Email Invitation and completes the “Advisor Profile Setup” within ten (10) days from the date on which this subsequent Email Invitation is sent by the Sponsor in accordance with this Section 5. Entries will not be retained from one Monthly Draw Period to the next.

6. Winner Selection: Potential winners will be selected by random draw among eligible participants for each Monthly Draw Periods. Twelve (12) random draws, one for each of the twelve (12) Monthly Draw Periods, will take place at approximately 10:00:00 AM ET on the third Friday of the immediately following month at the Sponsor's main office located at 60 Adelaide Street East, Suite 1300, Toronto, Ontario in accordance with the schedule set forth below: 

The participant selected as a potential winner will be contacted by email by a representative of the Sponsor, and must reply within seventy-two (72) hours to maintain eligibility. In order to be eligible to win and be declared a prize winner, each selected participant must correctly answer a time limited mathematical skill-testing question, without assistance or mechanical or electronic aid. If a selected participant cannot be contacted within the above-mentioned time period or fails to respond to any attempted contact, or if a selected participant fails to correctly answer the mathematical skill-testing question, such selected participant will be disqualified, his/her entry will be declared null and void and the Sponsor reserves the right, in its sole and absolute discretion, to select at random another eligible participant as a potential winner, in which case these provisions shall apply to such other eligible participant. 

7. Prize: Twelve (12) prizes are available to be won, one (1) per Monthly Draw Period, each consisting of one (1) five hundred dollar ($500 CDN) Visa Gift Card. The total approximate retail value of all twelve (12) prizes is six thousand dollars ($6,000 CDN). The Sponsor reserves the right to substitute a prize for a prize of equal or greater value at any time, in its sole discretion. Each Winner will be contacted by email with instructions on how to claim the prize. Prizes must be claimed by the participant within fourteen (14) days of having been declared a prize winner by the Sponsor (which period includes the date on which the announcement was made by the Sponsor). If a selected participant does not claim his/her prize, such prize shall be forfeited and no cash or substitutes will be provided in whole or in part. The Sponsor shall not be responsible for damaged, lost, stolen, delayed or unclaimed prizes.

8. Release: Prior to receiving a prize, each selected participant will be required to sign a declaration of eligibility and release form releasing the Sponsor and its related parties from any and all liability in connection with the Contest and/or the prize, confirming compliance with these Contest rules and consenting to the use of the selected participant’s name, photograph, place of residence and prize statement without further notice or compensation, in any publicity carried out by the Sponsor and its advertising and promotional agencies. The signed form must be received by the Contest Sponsor within seventy-two (72) hours of notification or the prize shall be forfeited.

9. Privacy and Use of Advisor Information: Sponsor uses a participant's personal contact information to administer this Contest, including contacting, announcing and promoting prize winners. The Sponsor also uses the information provided by participants through the "Advisor Profile Setup" process in accordance with the "Advisor Conset" provided by participants when completing the "Advisor Profile Setup" process.

10. Banning: The Sponsor may, in its sole discretion, prohibit any person from entering the Contest whom it believes to be abusing the rules. Such abuse includes entering false information and entering more than once during the Contest Period.

11. Other: Chances of winning depend on the number of eligible entries received from each Monthly Draw Period. This Contest is governed by the laws of Ontario and the laws of Canada applicable therein and is void where prohibited by law. Subject to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in the Province of Québec, the Sponsor reserves the right to cancel or modify the Contest or the Contest rules at any time without notice. All prizes must be accepted as awarded, are non-transferable and are not convertible to cash. The Sponsor reserves the right to substitute the prize or any portion of the prize with a prize of equal or greater value. All prizes are awarded as-is and no warranties or guarantees are implied or expressed. The Sponsor shall not be liable for any lost, late, misdirected or stolen entries or inability to process entries, or any errors, damage or negligence that may arise in connection with this Contest, including technical failures on any website or Contest software, viruses, website disruptions, malfunctions or website down-time, human error, personal injury or property damage incurred by any Contest entrant. Sponsor is not responsible for any errors or omissions in printing or advertising this Contest. Use of any automated system including robotic or form filling software to enter or participate in this Contest is prohibited and will result in disqualification of all entries by anyone using such assistance. Incomplete or illegible entries, bulk drop offs, photocopies, scanned copies, facsimiles or other mechanically or electronically reproduced entries will not be accepted and will be disqualified. If a dispute arises regarding who submitted an online entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry. The authorized account holder is the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

12. For Québec Residents Only: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
